SETU STORE AGREEMENT
General Terms
Welcome to SETU STORE PRIVATE LIMITED (referred as Setu Store), a suite of services including Selling on Setu Store, Vendor Panel, Transaction Processing Services, and Marketplace Web Service. By registering or using the services, you agree to the terms and conditions of this agreement.
1. Registration
To register, you must provide your legal business name, address, GSTN (if applicable), phone, email, and valid bank account details. Use of services is limited to those legally able to enter into contracts. Setu Store may suspend services at its sole discretion.
2. Service Fee Payments & Sales Proceeds
Vendors are responsible for expenses. Payments are remitted to your designated bank account. Setu Store may withhold funds for chargebacks, disputes, or fraud risks. Offsetting and recovery methods may include deduction, invoicing, reversal, or other lawful means.
3. Term and Termination
This agreement continues until terminated by either party. Setu Store may suspend or terminate services at any time. Sections covering liability, payments, indemnification, and confidentiality survive termination.
4. License
You grant Setu Store a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and sublicense your trademarks and content for services.
5. Representations
You represent that your business is legally registered, information provided is accurate, and you comply with all applicable laws.
6. Indemnification
You agree to indemnify Setu Store against claims, damages, and liabilities arising from your products, sales channels, personnel, or breach of agreement.
7. Disclaimer & General Release
Services are provided “as-is” without warranties. Setu Store disclaims liability for merchantability, fitness for purpose, or uninterrupted availability. Vendors release Setu Store from disputes between sellers and customers.
8. Limitation of Liability
Setu Store is not liable for lost profits, data, or indirect damages. Aggregate liability is limited to fees paid in the past six months.
9. Insurance
Vendors exceeding specified sales thresholds must maintain liability insurance naming Setu Store as additional insured.
10. Tax Matters
You are responsible for collecting, reporting, and paying your taxes. Fees are exclusive of taxes.
11. Confidentiality
All confidential information provided must be protected, used only for services, and not disclosed without permission.
12. Force Majeure
Setu Store is not liable for delays due to events beyond control including natural disasters, strikes, or system failures.
13. Relationship of Parties
The relationship is independent contractor. No partnership, joint venture, or agency is created by this agreement.
14. Use of Transaction Information
You may not disclose or use Setu Store transaction data for marketing, contact, or disparagement. Communications must use Setu Store-approved tools.
15. Suggestions & Information
Feedback or suggestions provided to Setu Store may be freely used and disclosed without obligation.
16. Modification
Setu Store may amend terms at any time. Continued use of services constitutes acceptance.
17. Password Security
You are responsible for safeguarding your password. Compromised accounts must be reported and updated immediately.
18. Miscellaneous
Agreement is governed by Indian law. Disputes will be resolved by binding arbitration in Noida, District Gautam Buddh Nagar. Notices will be sent electronically.
Selling on Setu Store - Service Terms
1. Product Listings and Orders
You must provide accurate product information, comply with applicable laws, and avoid prohibited items. Setu Store may display ratings and feedback.
2. Sale, Refunds, and Returns
You are responsible for sourcing, packaging, labeling, fulfilling, and processing returns in line with Setu Store refund policies. Setu Store may directly process refunds or cancellations.
3. Problems with Products
Vendors are liable for non-performance, defects, recalls, and delivery issues except where caused by credit card fraud handled by Setu Store.
4. Parity with Sales Channels
Products on Setu Store must be priced and serviced at least as favorably as other sales channels.
5. Compensation
Vendors pay referral fees, closing fees, subscription fees, and other applicable charges as per the fee schedule.
6. Remittance of Sales Proceeds & Refunds
Payments are remitted bi-weekly after deducting fees. Reserves may be applied to manage risks.
7. Control of Sites
Setu Store may redesign, modify, or remove listings and site content at its discretion.
8. Effect of Termination
Upon termination, rights and obligations related to ongoing transactions survive until completion.
Vendor Panel by Setu Store - Service Terms
1. Products
Products must be registered and approved for Vendor Panel. Setu Store may reject excluded products.
2. Product & Shipping Information
Accurate product and shipping data must be provided and updated as required.
3. Shipping to Setu Store
Vendors are responsible for shipping costs, packaging, labeling, and compliance with carrier and program policies.
4. Storage
Setu Store provides storage and inventory tracking. Risk of loss remains with vendors except as reimbursed under guidelines.
5. Vendor Panel Fulfillment
Units are shipped to customers from Setu Store facilities, possibly combined with other merchant products. Exports may be supported.
6. Customer Returns
Setu Store manages returns for Vendor Panel units. Unsuitable items may be returned or disposed.
7. Returns and Disposal
Vendors may request return or disposal of units. Setu Store may dispose of unsafe or abandoned units.
8. Customer Service
Setu Store handles customer service for Vendor Panel units. Vendors handle service for multi-channel fulfillment.
9. Compensation for Vendor Panel Services
Fees include handling, storage, shipping, and gift wrap charges. Proceeds from disposed items remain with Setu Store.
10. Indemnity
You indemnify Setu Store against claims related to your products, shipments, or taxes.
11. Release
You release Setu Store from liabilities connected with shipment or delivery, including unknown claims.
12. Disclaimer
Setu Store disclaims liability as a bailee or warehouseman. Vendors waive rights associated with product storage and shipping.
13. Effect of Termination
Upon termination, units may be returned or disposed. Surviving obligations include indemnity, storage, and disposal terms.
14. Tax Matters
Storing products in Setu Store facilities may create tax nexus. Vendors are responsible for all applicable taxes.
